You will have to write an ethics report as part of the requirements for this class. The Case Report is an individual assignment on the HBR case, Governance Failure at Satyam. Each student will need to purchase and download their own individual copy of the case directly from the Harvard Business School (HBS) case library. You will need to answer three questions related to this case listed below. The purpose of the case report is to assess your ability to apply strategic and ethical principles to specific situations. The report should summarize your analyses and recommendations in no more than three (3) double-spaced pages, 12 points Times Roman font, and all round 1-inch margins. This is a strict page limit and formatting requirement and must be adhered to by all students.
This written assignment will be judged according to standards of effective business communication. It should be clear and cogent. Papers will be evaluated based on organization, mechanics, impact, and style. The document Governance Failure at Satyam: Case Directions can be found in Appendix A and contains detailed instructions on how to prepare your case report.
**SPECIFIC QUESTIONS YOU MUST ADDRESS IN YOUR CASE ANALYSIS***
Discuss the circumstances under which Satyam’s fraud was exposed. What do you think were the reasons for the fraud? Could this fraud have been prevented? (HINT: the failure of the Maytas deal started to unravel the fraud)
Critically evaluate the corporate governance mechanisms of Satyam. (HINT: consider ownership structure, board composition, board committees, disclosures and transparency)
Do you think that making industry regulatory changes would help in preventing such fraud? (HINT: Take a position and provide supporting evidence for your answer.)
