Fact Pattern
Just four months ago, Rachel Green entered into a contract with Ralph Lauren. Pursuant to the contract, Rachel Green paid $100,000 for a variety of Ralph Lauren clothing for her store, Rachel and Ralph. Two weeks after submitting her order, Rachel Green changed her order from winter clothes to summer clothes. The clothing was supposed to arrive two months ago, but Ralph Lauren’s summer clothes factory went on strike. Pursuant to the contract, Ralph Lauren sent Rachel Green a notice that it will be unable to fulfill her order and sent Rachel Green $75,000. Ralph Lauren kept $25,000 because there was a change order fee of $25,000.
Rachel Green’s store, Rachel and Ralph, sued Ralph Lauren in federal court for breach of contract. Ralph Lauren has hired you to represent it.
